TO CONDUCT A WETLANDS INVENTORY AND AUTHORIZING THE MAYOR TO SIGN SAID AGREEMENT. WHEREAS, the city was recently awarded a Wetland Planning Assistance Grant from the Oregon Division of State Lands; and WHEREAS, the Community Development Department conducted a competitive process to select a wetlands consultant and has recommended that Shapiro and Associates, Inc. be given a personal services agreement, NOW, THEREFORE THE CITY OF WOODBURN RESOLVES AS FOLLOWS: Section 1. That the city enter into an agreement with Shapiro and Associates, Inc. to perform a wetlands inventory. Section 2. That the Mayor is authorized to execute, on behalf of the city, said agreement with Shapiro and Associates, Inc., a copy of which is affixed hereto as Attachment "N' and by this reference is incorporated herein. T' ___,.._.,.0".-..-_+ ----..-.-..---.-"'-. , fACHMENT A Page -L. of ITO PERSONAL SERVICES AGREEMENT This Agreement is made and entered into by and between the City of Woodburn, Oregon, hereinafter referred to as "City", Shapiro & Associates, Inc., an Oregon corporation, hereinafter referred to as "Consultant", regarding work related to a wetlands inventory IT IS HEREBY AGREED by and between the parties to this Agreement: 1. Term The term of this Agreement shall be from the date of execution by both parties until tasks required hereunder are complete and accepted, unless earlier terminated in accordance herewith. 2. Consultant's Services Consultant agrees to provide the services described in the Consultant's Scope of Work and Schedule, a copy of which is attached hereto as "Exhibit A", and is incorporated herein by this reference. 3. Consideration City shall pay Consultant a sum not to exceed Thirty Three Thousand Dollars ($33,000) for all Consultant services. 4. Payment The parties understand and agree that all funding for this Agreement shall be obtained from a 1997-98 Wetland Planning Assistance Grant obtained by the City from the Oregon division of State lands (DSl). After first obtaining the necessary disbursements from DSl, the City shall pay the Consultant compensation in accordance with Exhibit .. A". As long as Consultant has not defaulted under this Agreement, City shall pay Consultant within 30 days of the date of Consultant's invoices for services performed and reimbursable expenses incurred under this Agreement. If City has reason to question or contest any portion of any such invoice, amounts questioned or contested shall be identified and notice given to Consultant within 15 days of the date of the invoice. Any portion of any invoice not contested shall be deemed to be accepted and approved for payment and shall be paid to Consultant within 30 days of the date of the invoice. ",rTACHMENT A_ Page~of~ to cooperate with Consultant in a mutual effort to resolve promptly any contested portions of Consultant's invoices. 5. Independent Contractor Consultant is engaged hereby as an independent contractor, and will be so deemed for purposes of the following: A. Consultant will be solely responsible for payment of any federal or state taxes required as a result of this agreement. B. The Consultant is an independent contractor for purposes of the Oregon Workers' Compensation Law (ORS Chapter 656) and is solely liable for any workers' compensation coverage under this agreement. 6. Employees No person shall be employed for more than eight hours in anyone day, or 40 hours in anyone week, except in cases of absolute necessity, emergency or where the public policy absolutely requires it, and in such cases except in cases of agreements for personal services as defined in ORS 279.051, the laborer shall be paid at least time and a half pay for all overtime in excess of eight hours a day and for work performed on Saturday and on any legal holiday specified in ORS 279.334. Persons who perform work under a personal services agreement shall be paid at least time and a half of all overtime worked in excess of 40 hours in anyone week, except for individuals who are excluded under ORS 653.010 to 653.261 or under 29 U.S.C. ~ ~201 to 209 from receiving overtime. Should Consultant elect to utilize employees on any aspect of this Agreement, Consultant shall be fully responsible for payment of all withholding required by law, including but not limited to taxes, including payroll, income, Social Security (FICA) and Medicaid. Consultant shall also be fully responsible for payment of salaries, benefits, taxes, Industrial Accident Fund contributions and all other charges on account of any employees. Consultant shall pay to the Department of Revenue all sums withheld from employees pursuant to ORS 316.167. All costs incident to the hiring of assistants or employees shall be consultant's responsibility. Consultant shall indemnify, defend and hold City harmless from claims for payment of all such expenses. Unless specifically set forth on Exhibit "A", expenses relating to items set forth in this paragraph shall not be the basis of additional reimbursement of Consultant. Personal Services Agreement 'T- ----,,-----..------.-...'------- --- MITACHMENT -1 Page~ of J No person shall be denied or subjected to discrimination in receipt of the benefits of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, marital status, age, disability or national origin. Any violation of this provision shall be grounds for cancellation, termination or suspension of the Agreement in whole or in part by City. 7. Indemnity and Insurance Consultant acknowledges responsibility for liability arising out of the performance of this Agreement and shall hold City, its officers, agents, and employees harmless from and indemnify and defend the same of any and all liability, settlements, loss, costs and expenses in connection with any action, suit, or claim resulting or allegedly resulting from Consultant's negligent acts, omissions, activities or services provided pursuant to this Agreement or from Consultant's failure to perform its responSibilities as set forth in this agreement. Consultant, its subcontractors, if any, and all employers working under this Agreement are subject employers under the Oregon Worker's Compensation Law and shall comply with ORS 656.017 which requires workers' compensation coverage for all their subject workers. Consultant shall maintain throughout this Agreement the following insurance: A. Consultant shall, at its own expense, provide and maintain worker's compensation and employer's liability insurance as required by applicable state or federal law. B. Consultant shall maintain professional liability insurance in the amount of One Million Dollars ($1,000,000). Consultant shall pay the premiums for such coverage during the term of this Agreement. Consultant shall provide certificates of insurance as evidence of the stated professional liability coverage. Such certificate shall contain an endorsement that City shall receive thirty (30) days' prior notice of cancellation or nonrenewal of the policy. 8. Standard of Care In the performance of its professional services, Consultant shall use that degree of care and skill ordinarily exercised under similar circumstances by reputable members of its profession practicing in the State of Oregon. Consultant will reperform any services not meeting this standard without additional compensation. Consultant's reperformance of any services, even if done at City's request, shall not be considered as a limitation or waiver by City of any Page 3 - Shapiro & Associates, Inc. ATTAC~MENT 11 Page of J ~ other remedies or claims it may have arising out of consultant's failure to perform in accordance with the applicable standard of care or this Agreement. 9. Termination This Agreement may be terminated prior to the expiration of the agreed upon terms: A. By mutual written consent of the parties; B. By City for any reason within its sole discretion, effective upon delivery of written notice to Consultant by mail or in person; and C. By Consultant, effective upon seven days prior written notice in the event of substantial failure by City to perform in accordance with the terms through no fault of Consultant. If City terminates the Agreement in whole or in part due to default or failure of Consultant to perform services in accordance with this Agreement, City may procure, upon reasonable terms and in a reasonable manner, services similar to those so terminated. In addition to any other remedies the City may have, Consultant shall be liable for all costs and damages incurred by City in procuring such similar service, and the Agreement shall be in full force to the extent not terminated. If City terminates the Agreement for its own convenience, payment of Consultant shall be prorated to and include the day of termination and shall be in full satisfaction of all claims by Consultant against City under this Agreement. Termination under any provision of this paragraph shall not affect any right, obligation or liability of Consultant or City which accrued prior to such termination. Consultant shall surrender to City items of work or portions thereof for which Consultant has received payment, or City has made payment. City retains the right to elect whether or not to proceed with actual construction of the project. 10. Work is Property of City All work in its original form which is performed or produced by Consultant under this Agreement shall be the exclusive property of City and shall be delivered to City prior to final payment. Upon City's approval and provided City is identified in connection therewith Consultant may include Consultant's work in its promotional materials. Drawings may bear a disclaimer releasing the Consultant from any liability for changes made on the original drawings and for reuse of the drawings subsequent to the date they are turned over to City. 11 . Law of Oregon The Agreement shall be governed by the laws of the State of Oregon. The Agreement provisions required by ORS Chapter 279 to be included in public agreements are hereby incorporated by reference and shall become a part of this Agreement as if fully set forth herein. 12. Adherence to Law Consultant shall adhere to all applicable federal and state laws, including but not limited to laws, rules, regulations, and policies concerning employer and employee relationships, workers' compensation, and minimum and prevailing wage requirements. Any certificates, licenses or permits which Consultant is required by law to obtain or maintain in order to perform work described on Exhibit A, shall be obtained and maintained throughout the term of this Agreement. 13. Modification Any modification of the provisions of this Agreement shall not be enforceable unless reduced to writing and signed by both parties. A modification is a written document, contemporaneously executed by City and Consultant, which increases or decreases the cost to City over the agreed sum or changes or modifies the scope of service or time of performance. No modification shall be binding unless executed in writing by Consultant and City. 14. Attorneys Fees In the event a suit or action is instituted to enforce any right guaranteed pursuant to this Agreement, the prevailing party shall be entitled to, in addition to the statutory costs and disbursements, a reasonable attorneys fee to be fixed by the trial and appellate courts respectively. Integration This Agreement, including but not limited to Exhibits and Consultant's proposal submitted to City contains the entire and integrated agreement between the parties and supersedes all prior written or oral discussions, representations or agreements. In case of conflict among these documents the provisions of this Agreement shall control. PROJECT UNDERSTANDING 'remenl II SHAPIRO understands that the City has been awarded a grant from the Oregon Land Conservation and Development Commission (LCOC) for the purpose of conducting this wetland inventory. The City wishes to conduct a L WI, including wetlands assessment, and riparian inventory meeting the requirements established by the Oregon Division of State Lands (DSL). The purpose of the project is to ' identify and inventory wetlands and riparian areas within the UOB of Woodburn, an approximately 3,000-acre area.. This criticaIbackground informatio.n will be used by the City to update its comprehensive plan and land use regulations in compliance with Statewide Planning Goal 5, and to complete periodic review as required by the LCDC. In addition to enabling identification and protection of natural resources, these inventories will help the City refine its estimates of buildable land for use in land needs analyses. Each aspect of our approach is addressed below. T echnieal Expertise SHAPIRO recently has completed L WIs for the cities of Happy Valley, Sandy, Philomath, and Lincoln City. We underst8nd how to be flexible and cidapt our approach to the varying issues and unique characteristics of different communities. In conducting a L WI, SHAPIRO assigns a team of scientists and planners to the project. The team is responsible for quality control and quality assurance measures. The team approach provides internal check points to assure technical accuracy. A team of two wetland scientists will conduct the field work. Upon completion of the inventory, SHAPIRO will use OFW AM and DSL guidelines to determine the significance of the wetlands. The final inventory will include text, tables, maps, and AutoCAD digital files identifying significant . wetIan..ds and riparian areas based on the analysis. The project team is very familiar with OFW AM, having applied the methodology in five .previous inventories and on nwnerous project sites. Efficiency SHAPIRO uses an intensive approach to its field work to document and inventory natural resources efficiently. Following preliminary in-house work with aerial photography, tw~ wetland scientists will conduct a thorough field inventory ~ A. concentrated, one-month effort has proven to be the most effective method of documenting wetlands and riparian areas. The schedule is attached. Efficiency also will be achieved through the methodology SHAPIRO has used successfully in previous riparian inventories. Effective protection for riparian corridors generally can be achieved using "safe harbor" provisions. as the basic protection for riparian areas. For areas of particular value to the community, it may be appropriate to perform specific, more detailed inventories that will contribute to Energy, Social, Environmental and Economic (ESEE) analyses by the City for further protection of the resources. These techniques will provide the City with results reflecting the new GoalS guidelines, as well as community priorities and values. Staff Dan Cary will act as project manager, lead the wetland team. in the field, and prepare most of the written products. Mr. Cary is a U.S. Army Corps of Engineers (COE) certified wetland delineator and experienced wetland scientist, who has managed and conducted six L WIs throughout the state. Project Managem~nt Project management includes a number of subtasks not identified in the attached scope of work. The proper management of a project ensures that the City will receive an accurate technical product and good communication, and that the project will stay within the confines of the budget Project management subtasks include: '. Communication among the Client, .DSL, and SHAPIRO Staff · Oyersight to ensure accurate and complete data collection · Efficient scheduling of staff and tasks · Oversight to ensure accurate, complete, and cohesive reports and map · Invoicing, filing, and internal management of the budget · Client satisfaction Project management costs are included. in the costs for separate tasks on the 'budget spreadsheet, and vary according to the degree of project management required for each task. SCHEDULE AND ESTIMATED COSTS The LCDC grant for conducting the L WI is $33,000. SHAPIRO has estimated costs for perl'onning the work to be an amount not to exceed $33,000. SHAPIRO will conduct the project on a time-and-materials basis, charging only for time and materials actually spent on the project. TASK I: PROJECT ORIENTATION AND PLANNING Subtask A. Prepare RFQ, Select Consultant, Contract Services (City) Subtask B. Meet with City, DSL, and Other Representatives (1 meeting) To begin work on the project, the consultant will meet with staff of the City and Division of State Lands (DSL), and interested parties invited by the City, to discuss the project methodology, work products, coordination, and the proposed schedule. Subtask C. Brief Eleded Officials and Planning Commission (City) Subtask D. Background Data Collection and Base Map Preparation Before conducting field work, the consultant will gather all information necessary for an accurate preliminary determination of wetland boWldaries. In addition to information provided by the City, SHAPIRO will assemble inventory material from the DSL; soils informaiion available from the Natural Resources Conservation Service (NRCS; formerly known as the Soil Conservation Service [SCS]); and National Wetlands Inventory (NWI) quadrangles. The study area bOWldary will be located on a recent aerial photograph. The study area will be divided into hydrologic sub-basins, each labeled with a unique code. Properties not accessible to the project team will be identified based on the aerial photograph for reference in the field. Using the information discussed above, preliminary wetland boundaries and areas to investigate in the field will be drawn on the aerial photograph. In addition, soils information, topographic information, and the location of any known wetlands will be shown on a base map at the same scale as the aerial photograph. Identify Properties for On-Site Inspection ,_ After review of existing information, a field reconnaissance of the study area will be conducted from public access points to verify and determine the location and general extent of probable wetland areas. This will enable the production of a generalized map to create an accurate mailing to properties most likely to have wetland areas. SHAPIRO will assist in crafting an access permission letter to be used in the mailing by the City (Sub-task II.A). LandowDer Notification (City) Provided bv the City: The City will be responsible for dissemination of infonnation on the inventory process to the public in newspaper articles, and for producing the peImission letter in final fonn and mailing it to targeted property owners. The City will provide the consultant with a list of properties (tax lots) where access is denied by property owners. Public Meeting #1 The consultant will attend one public workshop to explain the definition of a jurisdictional wetland and how wetlands function, the benefits of conducting a Local Wetlands Inventory (L WI), the methodology used in the field, and the assessment methodology. The presentation will include examples of previous inventories conducted within Oregon, and discussion of the potential benefits for property owners of allowing on-site inspection. It is understood that the meeting will by attended be a representative of the DSL. .. Provided bv the City: The City will be responsible for advertising, obtaining a suitable venue, and attending the meeting. Products: Dissemination of information on the inventory process to the public, inclUding how data are gathered both on and off site, and how the inventory will be used to achieve long-range planning goals. ,- .. TASK TII: DEVELOP L WI, RIPARIAN INVENTORY AND FUNCI'IONAL ASSESSMENTS (According To DSL Rules And Requirements) Subtask A. Field Determination Wetland boundaries will be identified using the Corps of Engineers Wetlands Delineation Manual Technical Report Y-87-J (Environmental Laboratory, 1987), which defines wetlands as requiring indicators of hydric soils, a dominance ofhydrophytic vegetation, and wetland hydrology. Depending on access permission, every preliminary wetland area defined on the .aerial photograph will be visited in the field to verify the:: presence of wetland and to determine boundaries. Where property access is allowed, on-site delineations will meet or exceed the DSL minimum accuracy standard (plus or minus 25 feet). The wetland inventory will be conducted one sub-baSin at a time. This allows the project team to focus on small areas, ensuring complete project area coverage and accuracy of data collection. Data will be collected to accurately map the location of wetlands and uplands within the study area All wetlands larger than one half acre in size will be identified. The location of sample sites, upland areas, and wetland boundaries will be shown on aerial photographs of each sub-basin. Each wetland will receive a unique code identifying the sub-basin name and the number of the wetland within the sub-basin. All mapping of wetland boundaries will be conducted on the aerial photograph. Where possible, measurements will be taken from the edge of wetland areas to identifiable landmarks in the field (for example, the edge of an adjacent road). In addition, the type of each wetland will be identified using the methodology of Coward in et. al. (1979). Riparian areas will be identified along all perennial water bodies mapped on the U.S. Geological Survey (USGS) quadrangle for Woodburn. The boundaries will be mapped on aerial photographs with field review to refine the data. The riparian area boundaries will be defined using the Oregon Wetland Riparian Assessment of Function (OWRAF)for identifying riparian corridors not identified as wetland, emphasizing compliance with Goal 5 requirements. . Before final mapping, the project team will review the wetland and riparian boundaries on aerial photographs of each sub-basin. The team will decide whether areas not delineated as wetland are upland or warrant further investigation. This decision will be based on professional judgment, field notes. and photographs taken in the field. A new map showing the wetland areas, sampling sites, and riparian areas will be produced. The map will be digitized to allow additional layers to be developed as the project progresses. Products: A map (scale: 1 "=400') showing the inventory of digitized and coded wetlands and riparian areas, labels, and sample points included in the inventory. Sttbtask B. Conduct OFW AM and IdeDtify Significant Wetlands and Riparian Areas The wetland and riparian assessment methodologies will be conducted concurrently with the field work defining wetland boundaries. At each wetland. data will be collected to answer the questions contained in the Oregon Freshwater Wetland Assessment Methodology (OFW AM; Revised edition, March 1996). OFW AM will provide a determination of six wetland functions and three wetland conditions. The first step in conducting the methodology will be to determine whether the wetland is of special interest for protection (for example, whether rare, threatened, or endangered species are known to use the wetland). The wetland characterization section of the methodology will be tompleted basc?d on data collected in the field. Finally, the questions f~r each function and condition will be answered and a summary sheet explaining the results will be produced for each wetland. Using results of the OFWAM assessment, the consultant will apply the significance criteria adopted by the DSL to prepare a list of significant wetlands to be included in the report. Significant wetlands will be coded on maps. and discussion of significant wetlands will be included on wetland summary sheets. Riparian assessment methods from the OWRAF project will be used for the riparian methodology, to comply with LCDC Goa16 requirements. Documentation of the riparian areas. the methodology used to define riparian boundaries, and mapping products will be included in the draft and final reports. TheSe maps can easily be loaded into AutoCAD and further map layers developed as field work is performed and compared with aerial photography. A draft report will be prepared for submittal to the local jwisdiction and the DSL. The report will contain a narrative on the location and character of wetlands; the methodology used to defm.e wetland boundaries; data sheets documenting the soils, vegetation, and hydrology of identified wetlands; summary sheets for each wetland identified in the inventory; and the results of the OFWAM and OWRAF assessment of wetland functions and values, including determinations of significance. A map of the wetland boundaries, sampling locations. and other information will be produced for the draft and final reports. The map scale will be 1 inch = 400 feet, even though the minimwn scale in the L WI standards and guidelines is 1 inch = 800 feet. The consultant will revise the draft report and maps on the basis of comments received from City staff. and comments and field verifications by staff of the DSL. Products: One copy of the draft report for the City and one for the DSL, including narrative, maps, wetland data sheets for wetlands assessed on site, wetland summary sheets, OFW AM forms and summary sheets, and OWRAF forms and summary sheets. Supporting graphics will include the study area shown on a USGS map, NRCS soils map, USFWS NWI map, and a map of hydrologic basins within the study area. Provided by the City: The City will be responsible for advertising, obtaining a suitable venue. and attending the meeting. Products: Dissemination of information on the inventory results to the public, including assessment methods and how the inventory information can be used to achieve long- range planning goals. LandowDer NotificatioD (City) TASK IV: PLAN REVISIONS (City) 'GENERAL PROJECT ASSUMPTIONS The study area will c.onsist of the City of Woodburn and all areas within the. W oodbum Urban Growth Boundary. SHAPIRO will obtain recent spring aerial photographs (scale: 11/= 400') for use during the inventory, to be purchased by the City. In cooperation with the City, SHAPIRO will identify targeted properties to conduct field investigations. SHAPIRO will draft the access permission letter and the City will produce the final draft on City letterhead and ~l it to owners of properties identified for on-site ~tion. The City will collect the denial letters and provide or assist in the production of a map showing where access is denied. The City will comply with all DSL grant requirements, including producing and submitting all required grant progress reports to DSL in a timely manner. One on-site full day meeting with DSL wetland personnel may be required. Wetland detenninations by parties other than the consultant on file with DSL up to the final day of field work will be identified on the inventory and incorporated in the final product. Wetland detenninations by parties other than the consultant accepted by DSL after the final field work day will not be included in the draft or final maps. Two versions (one draft and one fmal) of the wetland bOWldary maps will be produced under this contract. If additional revisions to the mapping are necessary they will be covered under a separate contract.
