A RESOLUTION APPOINTING ROBERT L. MENDENHALL BUILDING OFFICIAL,
ENTERING INTO AN AGREEMENT WITH RLM CONSULTING SERVICES, INC.
AND AUTHORING THE MAYOR TO SIGN SAID AGREEMENT.
WHEREAS, Robert L. Mendenhall served as Interim Building Official pursuant to
Resolution No. 1455; and
WHEREAS, the city recently conducted a Request for Proposals (RFP) process to select
a Building Official; and
WHEREAS, Robert L. Mendenhall was selected by the RFP process to act as Building
Official and to provide services as an independent contractor through RLM Consulting Services,
Inc., NOW, THEREFORE,
THE CITY OF WOODBURN RESOLVES AS FOLLOWS:
Section 1. That Robert L. Mendenhall be appointed as Building Official by the City of
Woodburn.
Section 2. That the City enter into an agreement with RLM Consulting Services, Inc. to
provide building inspection services.
Section 3. That the Mayor is authorized to execute, on behalf of the City, said agreement,
a copy of which is affixed hereto as Attachment A and, by this reference, is incorporated herein.

This Agreement was entered into by and between RLM CONSULTING SERVICES,
INC. (CONTRACTOR) an Oregon corporation and the CITY OF WOODBURN, OREGON,
(CITY) an political subdivision of the State of Oregon.

THE PARTIES HEREBY AGREE AS FOLLOWS:
1. Term
The term of this Agreement shall be from the date of its execution by both parties until
June 30, 1999, unless earlier terminated in accordance herewith.
2. Contractor's Services
Contractor agrees to provide the services as specified in the Request for Proposals,
marked Exhibit A, attached hereto and incorporated herein, and the Response, marked as
Exhibit B, attached hereto and incorporated herein. Contractor shall be reasonably
available to City from 8:00 a.m. to 5:00 p.m. Monday through Friday to provide these
sefVlces.
3. Compensation
City shall pay to Contractor for services rendered as follows:
a) In consideration of Contractor conducting plan reviews and inspections, 6()o,Io ofall
fees collected including structural, mechanical, and firellife safety plan reviews.
Included in this compensation is attendance at meetings and preparations of design
review reports requested by director.
b) All work other than the above shall be paid at the rate ofS40.00 per hour as
authorized by the community director with a written memo or work order.
c) ~ Contractor shall submit an itemized billing statement for payment of services
performed during the previous month. City agrees to pay by the 25th of each
month for bills received by the 5th of the month.
4. City's Obligations
In order to facilitate the work of Contractor as above outlines, City agrees to do the
following:
a) City shall make secretarial service and office space available at City Hall to
Contractor as needed to accomplish Contractor's duties.

b) city shall provide Contractor with the use of a motor vehicle. ~~~:~E~l"';' 4
5. Independent Contractor
Contractor, in carrying out the services to be provided under this Agreement, is acting as
an "independent contractor" and not an employee of City, and as such accepts full
responsibility for taxes or other obligations ~sociated with payment for services under this
Agreement. As an "independent contractor," Contractor shall not receive any benefits
normally accruing to employees of City unless required by applicable law. Furthermore,
Contractor may contract with other parties during the duration this Agreement.
6. Insurance
Contractor shall maintain ai all times commercial general liability insurance, property
damage/automobile insurance, and professional malpractice insurance covering its
activities and operations under this Agreement. Contractor shall name City, its officers,
agents and employees as an additional insured for generaIliability and property damage
insurance coverage. Such insurance shall be in the form and amounts not less than that set
forth ORS 30.270 with the following limits and coverage:

All insurance shall be evidenced by a certificate of insurance provided to City, indicating
coverages, limits and effective dates by an insurance company licensed to do business in
the State of Oregon.
7. Indemnification
Contractor shall save harmless, indemnify and defend City for any and all claims, damages,
losses and expenses including but not limited to reasonable attorney's fees arising out of
or resulting from Contractor's performance or failure to perform the obligations under this
Agreement to the extent that the same is caused by the negligence or misconduct of
Contractor or its employees or agents. Contractor shall not be responsible for any actions
occurring prior to December 15, 1997.

8.
Worker's Compensation

Contractor shall comply with ORS Chapter 656 for all employees who work in the State
of Oregon. Contractor shall obtain and maintain at all times during the term of this
Agreement, worker~s compensation insurance with the statutory limits and employer's
liability insurance. Contractor shall provide City with evidence that it is a carrier-insured
or self-insured employer in full compliance with the requirements of ORS Chapter 656, or
that it employs no persons subject to the requirements ofORS Chapter 656.

9. Standard of Care and Warranty
Contractor agrees to perform its services within that standard of care, skill and diligence
normally provided by professional individuals in the performance of similar services. It is
understood that Contractor must perform the services based in part upon information
furnished by City and that Contractor shall be entitled to rely on such information.
However, Contractor is given notice that City will be relying on the accuracy, competence
and completeness of Contractor's services and utilizing the results of such services.
Contractor warrants that the recommendations, guidance and performance under this
Agreement shall be in accordance with professional standards and requirements.
10. Ownership of Documents
All documents or other materials submitted to City by Contractor shall become the sole
and exclusive property of City. All material prepared by Contractor under this Agreement
may be subject to the requirements of the Oregon Public Records Law.
11. Non-Assignment
No portion of this Agreement may be assigned to any other individual, firm or entity
without the express written approval by City.
12. Non-Discrimination
Contractor agrees to comply with all applicable requirements of federal and state civil
rights and rehabilitation statutes, rules, and regulations. Contractor shall also comply with
the Americans with Disabilities Act of 1990, ORS 659.425, and all regulations and
administrative rules established pursuant to those laws.
13. Compliance with Public Contracting Laws
Contractor shall comply with all applicable federal, state and local laws, rules, and
regulations regarding public contracting. All provisions of ORS Chapter 279 are
specifically incorporated herein to the extent applicable to personal service agreements.

14.
Severability

In the event any provision of this Agreement is held to be unenforceable or invalid by any
court of competent jurisdiction, the remainder of this Agreement shall remain in full force
and effect and shall in no way be affected or invalidated thereby.
15. Governing Law
This Agreement shall be governed by the laws of the State of Oregon. Any action
commenced in connection with this Agreement shall be commenced in the District or
Circuit Court of Marion County. All rights and remedies of City shall be cumulative and
may be exercised successively or concurrently. The foregoing is without limitation or
waiver of any other rights or remedies of City according to applicable law.
16. Termination Without Cause
Either party shall have the right in its sole discretion, to terminate this Agreement by
giving 30 days written notice to the other party.

The City of Woodburn requests proposals from qualified firms interested in providing limited
semcc building inspection program semces. To qualit); firms must employ individuals
currently certified by the State of Oregon Building Codes Division with the following
certifications: Building Official, "A" Level Plans Examiner (fire..life safety), "A" Level
Structural Inspector, "-A" Level Mecbanicallnspector, One and Two Family Plans Examiner,
Structural Inspector, Mechanical Inspector, Manufactured Home Installation inspector,
Manufactured Parks and Camp inspector.
All questions concerning the proposal or scope of work should be directed to Steve Goeckritz,
Community Development Director, Tel. No. 503-982-5246. For a copy of the Proposal
Instructions and Scope of Work, please contact the Community Development Department
Three (3) copies of the proposal must be submitted to Community Development Department at
the above address no latec than April 15, 1998 at 5:00 PM Faxed copies will not be accepted, it
is the proposer's responsibility to ensure submittals are received by the date an time specified,
late submittals or incomplete submittals shall not be accepted under any circumstances. '
It is the intent of the City to make a selection from the proposals submitted. However, more
information may be requested if two or more proposals seem to be equally qualified.

SECTION I:
BACKGROUND
The City ofWoodbum has had a full time Building Official to Admini~er a partial inspection
program. The work load in the Building Division, Inspection Section bas exceeded Woodbums
ability to provide timely seivice and Building Code administration. It is the intent of the City to
increase the scope of service now offered to include A-LeveJ/fire-life safety plan review and A-
Level Mechanical plan review and inspections.
The term of this agreement is not to exceed one year, and may be renewable for two (2)
additional twelve-month periods: The City may tenninate any agreement based upon the RFP by
providing 30 days notice to cease using the services provided.

4. Submit iospection. reports of forms provided by the City approving or deaying the
inspection. When an iospection is denied, a list of correctioDs shaD be provided, the
report shall be signed by the inspector of record attesting that he/she personally
inspected the reviewed the construction for compliance with all requirements of the
applicable State of Oregon Specialty Codes. .'

SECTION ill:
Each responsible provider ~ address the following minimum qualifications:
I. The provider or has staff.
a. CurreotIy certified by the State of Oregon BuildU1g Codes Division with at least
three (3) or more of the following: Building Official, A-Level plans (fire-life
safety), Structural and Mechanical inspector, One and Two Family Dwelling
plans, structural and mechanical inspector.
2. The provider is or bas staffwho has a minimum of three (3) years experience working
for a jurisdiction with subm-Slntial experience in the inspection of residential,
commercial and industrial occupancies.
3 The provider will be required to enter into an agreement,with the City to provide the
said services. The agreement will closely approximate the attached sample "Contract
for Personal Services".
4. The provider shall provide proof of insurance covering workman's compensation or
any other insurance required in the performance of the work shall be the sole
responsibility of the provider. The City of Woodburn shall be held harmless in any
action by or upon the proposer. Refer to the attached (ATTACHMENT A) "Contract
for Personal Services", Section 1, for insurance coverage requirements.

1 Scope ofRFP
This Request for Proposal (RFP) contains the instructions governing the proposal to
be submitted and the material to be included therein, mallduo.y requirements which
must be met to be eligible for consida'atioo, provider's responsibilities during the
tenn oftbe contract, and other requirements to be met by each provider.
The RFP does not commit the City of Wood bum to award a contract or to procure a
contract for any items specified within the RFP document Under no circumstances
will the City ofWoodbum pay the cost inaJrred in the preparation of a response to
this RFP. The City ofWoodbum reserves the right to accept or ~ect any or all
proposals received as a result of this RFP, especially if not prepared as requested, to
negotiate with any qualified provider, to award on the basis of the initial proposal, or
to cancel either in part or in its entirety, this FRP if it deems that to be in its best
interest. In addition, the City ofWoodbum may accept or reject proposals based on
minor variations from the stated specifications when such action is deemed to be in
the City's best interest. Ifproviders choose to Participate in negotiatio~ they may
be asked to submit such proof: technical data, or other revisions to their proposals as
may be required.
The award, if there is one, will be made to the respondent(s) whose proposal is
determined to be the most responsive within a competitive price range based upon
evaluation of the information furnished under this RFP. The successful provider(s)
shall commence work only after the professional services agreement with the City has
been fully executed and a notice to proceed has been, issued.
Following the award of the contractor, if the parties are unable to agree as to the exact
wording of the contract document, the City reserves the right to rescind its initial
award and reconsider the proposals or reissue this RFP.
2. MANNER. OF PAYMENT
The manner of payment for providing services outline in this RFP shall be as deiermined
and specified in the "Personal Services Contract".
3. RFP CLOSING DATE
Proposals will be received until5:00 p.m., on April 15, 1998, at the office of the
Community Devdopment Department, 270 Montgomery Street, Woodburn, OR
97070. Proposals received after the closing time and date will not be accepted for any
reason. Delivery to an office other than the office of the Community Development
Director is not acceptable. Proposals shall be submitted in a sealed envelope titled:
~'PROPOSAL FOR BUILDING INSPECTION SERVICES", and shall also include
provider~_name, address plainly printed on the outside of the envelope.

4. PUBLIC RECORD
This RFP and one copy of each original response received togetha- with copies of all
documents pertaiDing to the award of a contract and/or purchase order, sbaII be kept by
the City for a period of 1 year and made part of a file which will be open to public
inspection.

5. INCOMPLETE PROPOSALS
Proposals which are incomplete or which are conditioned in any way, or which contain
erasures or altentions, may be rejected as incomplete.
6. EXECUTION OF PROPOSAL
Proposals must be executed in the name of the firm followed by the signature of the
officer authorized to sign for the finn and the printed or typewritten designation of the
office hel~ together with certification the proposal has been authorized by the firm's
controlling members. The address of the provider shall be typed or printed on the
proposal fonn and shall include tax identification numbers and the state in which it is
incorporated, if applicable.
7. ACCEPTANCE OF PROPOSAL CONTENT
The contents of the proposal of the successful provider will become contractual
obligations if acceptance action ensues. Failure of the suecessfu1 provider to accept these
obligations in an Employee assistance Program services egreement, purchase order,
delivery order or similar acquisition instrument, may result in cancellation of the award.
8. WITHDRAWALOFPROPOSAL
At any time prior to the date and hour set for the receipt of proposals, a provider may
withdraw hislher proposal. WithdraWal will not preclude the submission of another
proposal prior to the hour and date set for the opeqing of the proposal.
9. CONTACTTERMANDRENEWALPROCESS
Work under this contract shall commence as of the issuance date of the notice to proceed
(anticipated to be issued on or about April I, 1998), and shall continue through June 30,
1998, with subsequent years to run on a City fiscal year (July 1 through following June
30) basis.
RENEWAL PROCESS: If the City determines that it is in the City's best interest, the
City may elect to extend the contract for two (2) additional one (1) year periods or more
subject to the following conditions:

a. Approval of the Building Division Professional Services budget.
b. Service bas been determined by the Contact Administrator to be satisfactoly.
c. Fee schedule remains firm for the addition year, adjusted only for any escalation/de-
escalation allowed under the terms of the contract.
d. agreement to extend the contract, in writing, by the provider and execution of a new
contract for personal services.

SAMPLE AGREEMENT FOR PERSONAL SERVICES
A SAMPLE agreement for personal services is attached to the RFP document. If a
contract is awarded, it is anticipated that the personal services agreement will closely
approximate this doannent to include "supporting documents". The "supporting
documents" will include, but are not limited to, the RFP document:, the providers written
proposal, any required certificates and all other documents incorporated by reference
therein.
10. FORFEITUR OF THE CONTRACT
This contract may be cancelled at the election of the City of Woodburn for any willful
failure or refusal to faithfully perform the contact according to its terms as herein
provided.
11. INSURANCE REQUIREMENTS
Successful proposer sbalI provide evidence of insurance coverage of the types and in the
amounts stated in Section 13 "Insurance" of the attached SAMPLE "CONTRACf FOR
PERSONAL SERVICES" and such insurance must be ~tained throughout the term of
this contract.
SPECIAL ATfENTIONMUST BE GIVEN TO THE FOlLOWING:
Evidence of insurance coverage submitted on the "ACCORD" fonn, or any other
insurance certificate coat.ining the language regarding cancellation of coverage,
must be revised to strike the words "endeavor to", and "but failure to mall such
notice shall impose DO obligation or liability of any kind upon the company,1ts
agents or representatives". 1be City will not waive this requirement.
12. NON-ASSIGNMENT
If a contract is awarded, it shall not be assigned in part or in total.

SECTION V: SELECTION PROCESS

The City ofWoodbum PlJn'n,sing Manual outlines the provisions for the RFP process. It
provides, in ~ that proposal evaluation are coodncted by a Review Committee's
investigation of the proposer's qualifications, as stated in the proposal submittal and any
additional information that the Review Committee may request from the proposer to
clarify their proposal. This information may be obtained either verbally or in writing.
The results of the review committee's investigation shall be reported to the Department
Head who shall select one of the firms to be awarded the project. For purposes of this
RFP, the chair of the Review Committee is the Director of Community Development.

SECTION I. BACKGROUND
RLMCS, inc. fully understands and It is well within the capability of RLMCS, inc.
to meet the city's intent as outlined in this section. RLMCS, inc., staff have the
administrative as wall as experience in building inspection, plan review and as
will be exampled througho~ this response.
RLMCS, inc. is currently under contract to the City to provide Building Code
administration and inspections as they currently exist. RLMCS, inc. is prepared
for the increased level of service with staffing and administrative issues. RLMCS,
inc. proposes with this response the use of a computerized system to more
efficiently serve the public.
SECTION II: SCOPE OF SERVICE
RLMCS, inc. acknovvledges and agrees to the conditions, provisions or
requirements listed to indude items (1) through and induding (3).
RLMCS, inc. fully understands item (4); containing minimum requirements of
consultant.
Specifically, RLMCS, inc. response to items (4A through and including (4M) are
as follows:
4A: Agreed. RLMCS, inc. currently provides to the City, staffing that
meets or exceeds this requirement.
RLMCS, inc. is currently meeting the targeted 5 day-15 day tum-around
from plan intake to permit issuance. RLMCS, inc. procedure shall be to
continue to review plans for minimum conformance and shall approve
such plans or provide applicant with 'NIitten request for response to
deficiencies contained in plan review document in a timely manner.
4B: RLMCS, inc. if selected as the provider, shall continue to provide to
the City of Woodum, Building Code administration in the form of
enforcement of all currently adopted State or City codes, assisting City
govemment in adoption of Codes, providing assistance to planning/zoning
divisions regarding relevant code issues. The building inspection program

fabricated structures department and field inspection. Senior plans
examiner/assistant building official position with the City of Newberg.
Currently, Robert L. Mendenhall, President is the Building Official for the
company providing the full range 6f administrative as well as inspection
duties. Thomas E. Larsen, the Senior Building Inspector for the company
provides managerial direction for inspection staff.

RLMSC,inc., shall provide requested services as follows:
60% of all pennit fees collected to include structural and fire-life
safety plan review. For that percentage RLMCS, inc., will conduct plan
said reviews and inspections. Further, RLMCS, inc., will include as its .....
. service base, preparation of Design Review reports and attending such
meetings as requested by Community Development Director.
For work not covered by permit fees, an hourly rate of $40.00. Such
services might indude City ordinance enforcement, dangerous building
abatement, and similar services. Such fee \WU1d be at the approval and
service requested from Community Development Director.
