Res 1496 - Fund Cont w/Chamber COUNCIL BILL NO. 1905 RESOLUTION NO. 1496 A RESOLUTION ENTERING INTO A FUND CONTRIBUTION AGREEMENT BETWEEN THE CITY OF WOODBURN AND THE WOODBURN AREA CHAMBER OF COMMERCE. WHEREAS, the Woodburn Area Chamber of Commerce (the Chamber) is a nonprofit association which is independent of the City; and WHEREAS, the Chamber markets the community and develops a variety of programs and services to attract businesses to the City; and WHEREAS, the City has budgeted the sum of $8,000 to assist the chamber in its City related activities; NOW, THEREFORE, THE CITY OF WOODBURN RESOLVES AS FOLLOWS: Section 1. That the City enter into a Fund Contribution Agreement with the Woodburn Area Chamber of Commerce. Section 2. That the Mayor is authorized to sign said agreement which is affixed as Attachment "A" and is, by this referer;::'iJ~ed herein. FUNDING AGREEMENT BElWEEN THE CITY OF WOODBURN AND THE WOODBURN AREA CHAMBER OF COMMERCE TInS AGREEMENT is made and entered into this 23 day June , 19 98 by and between the City of Woodburn ("City") and the Woodburn Area Chamber of Commerce ("Chamber"). RECITALS A CHAMBER is a nonprofit association which is independent of the City, organized for the purpose of improving the business climate of Woodburn by marketing the community and developing a variety of programs and services to attract and maintain businesses in the City. B. CHAMBER's activities will benefit CITY by promoting the City as a good place to live, work and visit. CITY has budgeted the sum of $8,000 to assist CHAMBER in performing this task. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 1. CITY shall disburse to CHAMBER the sum of $8,000 in four quarterly payments and said sum shall be utilized by CHAMBER to fund portions of its program from July I, 1998 to June 30, 1999. In addition, CITY will pay an annual membership fee of$500 payable during the first quarter. 2. CHAMBER shall use said sum to provide a variety of services and programs to help market the Woodburn community, including, but not limit~ to, the following: a. Production and distribution of a citywide map; b. Production ofbi-annual business directory to be used by business relocators, newcomers, existing residents and tourists; c. Continued economic development programs to help ~developers and businesses focus on opportunities in Woodburn; d. Traditional chamber-type activities such as acting as a source of information for visitors and newcomers; e. Publication of a monthly newsletter known as "Chamber News" which is distributed to membership, media, local interested persons and other chambers. Establishment and maintenance of a web page linked to the city home page offering appropriate information and relating to business promotions. 3. CHAMBER's performance, place of business and records pertaining to this Agreement are subject to monitoring, inspection, review and audit by an authorized representative of CITY. 4. Any funds not expended or accounted for shall be either returned to CITY or credited toward the 1999-2000 program if CITY selects to participate at that time. The point of such a contract is to make very clear that the appropriation to the Chamber is not a "donation" or "gift" of public funds, but a payment for services to be provided by the Chamber to the City. You'll note the contract)l1akes no reference to any particular source of funding such as business license or the motel tax(Jhis is because such designation really isn't appropriate or necessary since we are no longer designating a specific percentage of the motel tax as a basis for this appropriation)ln other words, it's an appropriation from the General Fund of which the motel tax is a part of I suggest that this contract be used as a model for similar appropriations to other organizations and agencies as appropriate.
