Economic Development Director Johnk provided a staff report. Hythum Ismail and Robby
Truong, 347 N. Front Street, provided information and answered questions in regards to this
application. Councilor Morris stated that he supports this but added that this is a lot of money
and we should keep that in mind. Councilor Ellsworth stated that this was considered when
decided. Lonergan/Morris... Approve the Building Improvements Program application from
Novera, LLC in the amount of $50,000. The motion passed unanimously.

SUBJECT: URA Capital Improvement Project: Woodburn Fire District Main Fire
Station Remodel - Extension Request and the First Amendment to the
Urban Renewal Intergovernmental Agreement
Authorize the City Administrator to sign the attached First Amendment to the
Urban Renewal Intergovernmental Agreement (IGA) with the Woodburn Fire
District.
On January 26, 2015, the Woodburn Urban Renewal Agency (URA) authorized
staff to execute an IGA with the Woodburn Fire District for the commitment of
$676,000 in URA funding for remodel of the main fire station, which is located
within the Woodburn Urban Renewal District.
The IGA was subsequently executed on April 20, 2015 and includes a provision
that construction of covered improvements would be completed within four (4)
years. In April 2015, $676,000 in Urban Renewal funds were transferred to the
Woodburn Fire District, thereby fulfilling the City's financial commitment to the
project.
It was determined through the Fire District's initial architectural and engineering
analysis that the building should also receive seismic upgrades. In September of
2016, the Woodburn Fire District applied for an Oregon Seismic Rehabilitation
grant and was recently notified there will be a delay in the selection of recipients.
In order to improve construction efficiencies, the Fire District would like to
complete the seismic and Urban Renewal funded upgrades at the same time.
Due to the delay in the grant review period as well as the timeline for bond sales

and getting through the contract process, it is not likely that construction would
be complete prior to late 2019.
On March 15, 2017, the City received a letter from Woodburn Fire District Chief,
Paul Iverson, requesting an extension of the project's completion date from April
20, 2019 to December 31, 2019. The extension would allow the District to
complete both components of the project in a more efficient manner.
FINANCIAL IMPACT:
The City's commitment of $676,000 in Urban Renewal funding for the Fire Station
remodel was satisfied by the transfer of funds to the District in April 2015.

FIRST AMENDMENT TO URBAN RENEWAL INTERGOVERNMENTAL AGREEMENT
Between
Woodburn Urban Renewal Agency
and Woodburn Fire District No. 6
THIS First Amendment to Urban Renewal Intergovernmental Agreement
("First Amendment"), effective upon the last date of signatures below, is entered
into between the Woodburn Urban Renewal Agency, a component unit of the
City of Woodburn, Oregon (the "Agency"), and Woodburn Fire District No. 6, a
special district governmental entity (the "District").
WHEREAS, the Agency and District previously entered into Urban Renewal
Intergovernmental Agreement, dated April 20, 2015 (the "Urban Renewal IGA"),
whereby the Agency agreed to provide Agency Financing to the District to
complete the Fire Station Project, which would serve and benefit the Urban
Renewal Area;
WHEREAS, the Agency and the District desire to amend the Urban Renewal
IGA with the purpose of extending the period of time under which the District has
to compete the Fire Station Project and still receive Agency Financing;
WHEREAS, all terms not otherwise defined herein shall have the meaning
assigned to them in the Urban Renewal IGA; and
NOW, THEREFORE, the parties agree as follows:
FIRST AMENDMENT
1. The first sentence of Section 2.3 is hereby deleted in its entirety and
replaced with the following:
The District shall commence and complete the Fire Station Project by
December 31, 2019.
2. Section 3.1 is hereby deleted in its entirety and replaced with the following:
3.1. Unexpended Funds. If any portion of Agency Financing disbursed to
the District remains unexpended at completion of the Fire Station Project,
or after December 31, 2019, whichever occurs first, the District shall promptly
repay such portion to the Agency, together with interest earned on such
portion.
3. Section 5.1 is hereby deleted in its entirety and replaced with the following:

5.1. Termination. This Agreement terminates upon the completion of the
Fire Station Project, or at 5:00 p.m. on December 31, 2019, whichever occurs
first, except that Articles 3 and 6.4 survive termination of this Agreement.
4. Except as amended by this First Amendment, all other terms and conditions
of the Urban Renewal IGA shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment
effective as of the last date of signature specified below.

In June of 2015 Woodburn Fire District signed the urban renewal agreement with
the City of Woodburn for the grant funding. In the agreement the Urban Renewal
funds were required to be expended within 4 years of the date of signing,
however, during the initial architectural and engineering work it was determined
the building needed to go through a seismic upgrade. In September of 2016
Woodburn Fire District applied for an Oregon Seismic Rehabilitation grant. We
were recently notified there will be a delay in the selection of recipients.
We would like to do the seismic and urban renewal upgrades at the same time to
improve the efficiencies of the construction. But even if we are successful in
being selected for grant funds we will not be able to start the contract process
until the state sells the bonds for the project which will be in the next fiscal year in
2017. Therefore, Woodburn Fire District is asking to extend the time frame, of the
IGA, for expending the urban renewal grant funds to December of 2019.
