Urban Renewal Manager Stowers provided a staff report. Member Lonergan stated that the
estimates with the application are in someone other than the applicants name and wondered
if they are still valid. Member McCallum stated that one thing they could do is approve it on
condition that staff confirm that the estimates are still valid. Cox/McCallum... approve an
exterior Urban Renewal grant from Moises Morales Velasco and M. Carmen Cruz
(Applicants) in the amount of $10,000 on the condition that they provide staff with a letter
confirming that the bids provided with their application are still valid. The motion passed

On November 10, 2014, the Urban Renewal Agency received a $10,000 exterior
grant request from Moises Morales Velasco and M. Carmen Cruz to repair the roof
of 247 N Front Street. The Agency expressed concern over the name and dates
of two of the bids and directed the Applicant submit a letter of explanation
before signing the Grant Agreement.
The Applicant submitted a letter on November 12, 2014 which translated from
Spanish:
Dear Ms. Stowers,
Two of the estimates submitted with the grant application for property 247
N Front Street are in the name of Keller Zacher, the real estate agent. We
worked with the property owner, who worked with Zacher, since March,
2014 to purchase the property. I verify that the estimates are valid and
current.

WOODBURN FIRE DISTRICT MAIN FIRE STATION REMODEL
RECOMMENDATION:
Authorize the City Administrator to sign the attached Intergovernmental
Agreement (IGA) with the Woodburn Fire District providing $676,000 for
remodeling of the main fire station located within the Woodburn Urban Renewal
District.
BACKGROUND:
The Woodburn Urban Renewal Plan includes a provision specifically providing for
the remodeling of the dormitory area and related restroom, bathing, dining, and
day -room facilities of the Woodburn Fire District's main fire station. When
completed, this will benefit the public by enhancing fire protection. Also, from
an urban renewal perspective, this project will directly benefit the Woodburn
Urban Renewal Area and is important in carrying out the objectives of the Urban
Renewal Plan. Since creation of the Urban Renewal Area captured taxes that
would otherwise go directly to the Woodburn Fire District, it is appropriate that
the Urban Renewal Plan allow the Agency to assist the Fire District with this
project.
On December 9, 2014, 1 attended the regular meeting of the Woodburn Fire
District and the Woodburn Fire Board unanimously voted to authorize execution
of the IGA.
DISCUSSION:
The Agency has already assisted the District in 2013 in its efforts to renovate the
main station by providing preliminary engineering services on both an "in house"
and contracted basis in the amount of $13,676.38. The scope of work for the
remodeling is primarily focused on updating the firefighter dormitory rooms and

support facilities to provide single occupant rooms for greater privacy and
comfort for on -duty male/female firefighters. The remodeling will also improve
soundproofing to avoid unnecessary noise to the dormitory area. Mechanical
and electrical systems will be updated to provide greater energy efficiency and
comfort. The waste receptacle area located outside of the station kitchen will
also be moved away from the building to improve sanitation.
Under the IGA, it is the Agency's responsibility to provide the District with project
financing in an amount not to exceed $676,000. It is the District's obligation to
complete the design, call for bids and follow through with the construction. The
project must be completed within four years after the execution of the IGA. Any
unexpended funds, impermissible use of Agency financing, or the sale of the
property will trigger a repayment clause.
FINANCIAL IMPACT:
The Fire Station remodel will be funded at $676,000 and direct URA tax increment
earnings will be expended to complete this project.

URBAN RENEWAL INTERGOVERNMENTAL AGREEMENT
Between
Woodburn Urban Renewal Agency
and Woodburn Fire District No. 6
This Urban Renewal Intergovernmental Agreement (this "Agreement"), is made by and between
the Urban Renewal Agency of the City of Woodburn, (the "Agency") and Woodburn Fire
District No. 6, a special district governmental entity (the "District").
RECITALS
A. The Agency is granted broad powers under ORS 457.170 for the planning and
implementation of urban renewal projects.
B. The Agency has adopted the Woodburn Urban Renewal Plan (the "Plan")
C. Section 600 A 7 of the Plan 9 (adopted in 2008) provides as follows:
"Project Area Benefit from Expansion of Woodburn Fire District Station Main
Station. The Woodburn Urban Renewal Agency has reviewed the following
construction project proposed by the Woodburn Fire District for Urban Renewal funding:
Remodeling the dormitory area of the station and related restroom, bathing, dining, and
day -room facilities. This is 3,672 s.f. of remodeled area at an estimated cost of
$1,000,000. Improvements are needed to handle overcrowding and staff needs
anticipated from new growth, and increased activity in the District.
The Woodburn Urban Renewal Agency finds that this project will directly benefit the
Woodburn Urban Renewal Area and is important to carrying out the objectives of the
Urban Renewal Plan. Section 301 of this Plan states the Goals and Objectives of the
Plan. The remodel of Woodburn Fire District Main Station will benefit the Urban
Renewal Area by contributing to the accomplishment of the following goals and
obj ectives:
Planned new construction in the Urban Renewal Area will create a need for expanded
Woodburn Fire District facilities and additional personnel. These facilities and personnel
are critical to attracting and promoting private development, improving the fire safety of
new and older buildings in the area, supporting and protecting existing and proposed
properties in the renewal area (Goals A, B, and F of the Urban Renewal Plan).
Further, the Woodburn Urban Renewal Agency finds that improvements to the
Woodburn Fire District's main station will serve and benefit the Urban Renewal Area
because the improvement are contained within the District boundaries, is close to
properties inside the urban renewal district, and will allow the Woodburn Fire District to
provide more rapid, efficient fire and emergency service response to properties within the
Urban Renewal Area. Since the Urban Renewal Area captures taxes that would

otherwise go directly to the Woodburn Fire District, it is necessary for the Urban
Renewal Agency to assist the Fire District with this project to ensure the Urban Renewal
Area's plans and objectives are accomplished."
D. The District owns and operates the Main Fire Station located at 1776 Newberg Hwy
Woodburn, Oregon (the "Property") which is a primary public safety facility located
within the Urban Renewal Area.
E. The Agency has already assisted the District in its efforts to renovate the Main Fire
Station by providing preliminary engineering services on both an "in house" and
contracted basis in the amount of $13, 676.38.
F. The District is now ready to proceed with construction improvements and remodel of the
Property (the "Fire Station Project") to better meet its operational needs.
G. The Agency finds that Agency Financing provided by this Agreement will be used to
finance the Fire Station Project, will implement section 600 A 7 of the Plan and will
serve and benefit the Urban Renewal Area.
H. The District, pursuant to this Agreement, accepts Agency Financing and acknowledges
the Agency's completion of its effort to assist the District as memorialized in Section 600
A 7 of the Plan.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, and the conditions, covenants and agreements set forth below,
the parties hereby agree as follows:
AGREEMENT
ARTICLE 1
THE FIRE STATION PROJECT
1.1 Proiect Description. The District's efforts to make construction improvements and
remodel the Property is referenced herein as the Fire Station Project and is generally
described by the Woodburn Fire Station Dorm Renovation Pricing Set Drawings,
Revision 1, dated, March 7, 2012, which are attached hereto as Exhibit A and are, by this
reference, incorporated herein. Exhibit A is not intended by the parties to be a specific
scope of work but is only a general description of the improvements that are anticipated
to be constructed by the District.
1.2 District Responsible for the Fire Station Proiect. Notwithstanding that the Fire Station
Project is generally described in Exhibit A, the parties understand and agree that it shall
be the obligation of only the District to complete the design, call for bids and construct
the Fire Station Project and that the Agency shall be obligated only to provide Agency
Financing as provided herein.

ARTICLE 2
AGENCY FINANCING GENERALLY
2.1 Auncy Financing. Subject to the terms and conditions of this Agreement, the Agency
shall provide the District with financing for the Fire Station Project in an amount not to
exceed Six Hundred Seventy Six Thousand Dollars ($676,000) ("Agency Financing").
Agency Financing is in an amount that approximates the current Engineer's estimate of
the funding necessary to complete the Fire Station Project.
2.2 Use of Agency Financing, Agency Financing may only be used to pay costs of the Fire
Station Project that relate directly to improvements located within the boundaries of the
Urban Renewal Area that are a legally permissible use of tax increment revenues derived
under ORS Chapter 457.
2.3 Completion of Fire Station Proiect. The District shall commence and complete the Fire
Station Project within four (4) years after the execution of this Agreement. The District
shall be solely responsible for costs of the Fire Station Project in excess of Agency
Financing. However, if the completion of the Fire Station Project is delayed by strike,
lockout, or other labor dispute, an Act of God, delay in receiving materials or equipment,
or any casualty beyond the District's control, the time of completion of the Fire Station
Project shall be extended for an additional period of time equal to the lost time due to
such delay.
2.4 Disbursement of Agency Financing. Subject to satisfaction of the Conditions Precedent
set forth below, the Agency shall disburse Agency Financing for the Fire Station Project
in a single lump sum payment to the District in the amount of Six Hundred Seventy Six
Thousand Dollars ($676,000) after the District's presentation to the Agency of an
appropriate invoice. Pending its use on the Fire Station Project, the District shall place
Agency Financing disbursed to the District under this Agreement in a segregated interest
bearing account consistent with the District's cash management policies for similar funds.
All interest on such funds while held by the District shall accrue to the District except as
provided by this Agreement.
2.5 Conditions Precedent to Agency Financing, The Agency's financing for the Fire
Station Project, and the disbursement of Agency Financing to the District, is conditioned
on each of the following Conditions Precedent:
2.5.1 The Agency shall have determined, in its sole discretion, that there are sufficient
budget appropriation and funds availability for Agency Financing.
2.5.2 The Agency has received from the District a budget document for the Fire Station
Project, in form and substance satisfactory to the Agency that identifies Six
Hundred Seventy Six Thousand Dollars ($676,000) in Fire Station Project costs
that can be paid by Agency Financing.

2.5.3 The District shall comply with all applicable laws in its construction of the Fire
Station Project. Specifically, but without limiting the generality of the preceding
sentence, the District shall comply with the prevailing wage laws, as applicable,
and obtain any necessary permits and approvals to accomplish the Fire Station
Project.
2.5.4 The District is not in breach of any material term or provision of this Agreement.
ARTICLE 3
REPAYMENT OF AGENCY FINANCING
The District shall not be required to repay Agency Financing to the Agency except as follows:
3.1 Unexpended Funds. If any portion of Agency Financing disbursed to the District
remains unexpended at completion of the Fire Station Project, or four (4) years after the
execution of this Agreement consistent with Section 2.3 above, whichever occurs first,
the District shall promptly repay such portion to the Agency, together with interest earned
on such portion.
3.2 Impermissible Use of Agency Financing. If any portion of Agency Financing disbursed
to the District is used in a manner not permitted by this Agreement, the District shall,
upon the Agency's demand, repay such portion to the Agency, together with interest
earned on such portion.
3.3 Disposition of the Property. If, without prior written approval by the Agency, the
District sells the Property, or no longer uses or plans to use the Property as a fire station
prior to the completion of the Fire Station Project, then the District shall, upon the
Agency's demand, repay to the Agency the entire amount of Agency Financing together
with interest earned.
ARTICLE 4
RECORDS INSPECTION AND REPORTING
4.1 Records and Inspection. The District shall maintain all fiscal and other records
pertinent to this Agreement and the Fire Station Project for at least three (3) years
following completion of the Fire Station Project in accordance with generally accepted
accounting principles and in a manner that clearly documents when and how Agency
Financing was used. In addition, the District shall maintain all other records pertinent to
this Agreement in such a manner as to clearly document its performance hereunder. The
District shall make any or all of the foregoing records available to the Agency and its
representatives, as the Agency may reasonably request from time to time, to enable the
Agency to perform examinations and audits and make excerpts and transcripts, provided
that any such examinations and audits shall be at the Agency's sole expense. In addition,
the District shall permit the Agency and its representatives to inspect the Fire Station
Project, and the work performed as a part thereof, as the Agency may reasonably request
from time to time.

4.2 Written Notice of Completion. The District shall inform the Agency in writing when
the Fire Station Project is completed. Promptly after completion of the Fire Station
Project, the District shall provide to the Agency documentation satisfactory to the
Agency of the use of Agency Financing, including copies of paid invoices, accounting
records and other documents that the Agency may reasonably request.
ARTICLE 5
TERMINATION
5.1 Termination. This Agreement shall terminate upon the completion of the Fire Station
Project except that Articles 3 and 6.4 shall survive termination of this Agreement.
ARTICLE 6
GENERAL TERMS
6.1 Agreement Administration. Scott Derickson, City Administrator, is the Agency
representative authorized to administer this Agreement on behalf of the Agency. Paul
Iverson, Fire Chief, is the District representative authorized to administer this Agreement
on behalf of the District.
6.2 Notices. Any notice provided for under this Agreement shall be in writing and deemed
delivered five days after mailing, postage prepaid and properly addressed to the party to
be notified. Unless a party, changes its address by giving notice to the other party as
provided herein, notices shall be addressed as follows:

6.3 Signs and Publicity. During construction of the Fire Station Project, the District, at its
expense, shall post at a visible location near the Property a sign identifying the Agency as
providing project financing. The location and format of the sign shall be approved by the
Agency prior to its display.
6.4 Mutual Indemnification. To the extent permitted by Oregon Law and within the limits
of the Oregon Tort Claims Act (ORS 30.260 through 30.300), the District shall defend,
indemnify and hold harmless the Agency and the Agency's commissioners, officers,
agents, and employees against all claims, demands, actions and suits brought against any
of them arising from or related to the Fire Station Project except that the District shall not
be required to indemnify the Agency or its commissioners, officers, agents or employees
to the extent of their fault or negligence. To the extent permitted by Oregon Law and
within the limits of the Oregon Tort Claims Act (ORS 30.260 through 30.300), the
Agency shall defend, indemnify and hold harmless the District and the District's

commissioners, officers, agents, and employees against all claims, demands, actions and
suits brought against any of them arising from or related to actions by the Agency under
this Agreement except that the Agency shall not be required to indemnify the District or
its commissioners, officers, agents or employees to the extent of their fault or negligence.
6.5 Governing Law. This Agreement shall be governed and construed in accordance with
the laws of the State of Oregon. Any suit for enforcement shall occur, if in the state
courts, in the Marion County Circuit Court, or if the action must be brought in federal
courts, in the United States District Court for the District of Oregon.
6.6 Assignment. Neither party shall assign or transfer any interest in this Agreement, nor
assign any claims for money due or to become due under this Agreement, without the
prior written approval of the other party. This Agreement shall bind and inure to the
benefit of, and be enforceable by, the parties hereto and their respective successors and
permitted assigns.
6.7 No Third Party Beneficiaries. This Agreement is between the parties and creates no
third party beneficiaries. No person not a party to this Agreement is an intended
beneficiary of this Agreement, and no person not a party to this Agreement shall have any
right to enforce any term of this Agreement.
6.8 Relationship of Parties. The parties intend that the relationship created by this
Agreement is that of independent contracting parties. Neither party hereto shall be
deemed an agent, partner, joint venturer, or related entity of the other by reason of this
Agreement.
6.9 Time is of the Essence. Time is of the essence of this Agreement.
6.10 Counterparts, This Agreement may be executed in any number of counterparts, all of
which when taken together shall constitute one agreement binding on both parties,
notwithstanding that both parties are not signatories to the same counterpart.
6.11 Material Breach. If the District or the Agency breaches any material term or provision
of this Agreement and such breach remains uncured 60 days after written notice thereof
to the breaching party, then the non -breaching party may pursue any right or remedy that
it may have, under this Agreement for the breach of this Agreement, including but not
limited to, monetary damages.
6.12 Integration, Amendment and Waiver. This Agreement constitutes the entire
agreement between the parties. There are no understandings, agreements or
representations, oral or written, not specified herein regarding this Agreement. No
amendment, consent or waiver of terms of this agreement shall bind either party unless in
writing and signed by all parties. Any such amendment, consent, or waiver shall be
effective only in the specific instance and for the specific purpose given. The parties, by

understood this Agreement and agree to be bound by its terms and conditions.

SUBJECT: 2014-2015 BUDGET TRANSFER
RECOMMENDATION:
January 26, 2015
Adopt the attached resolution approving a budget transfer for fiscal year 2014-
2015 related to the Woodburn Fire District Intergovernmental Agreement.
BACKGROUND:
Every year, after the budget is adopted by Council, circumstances and events
arise that were either unforeseen or not quantifiable at the time the budget was
prepared and adopted. ORS 294.463 provides for transfers of appropriations
within fund or between funds
"...transfers of appropriations may be made within a fund when
authorized by ordinance or resolution of the governing body of a
municipal corporation. The ordinance or resolution must state the need for
the transfer, the purpose for the authorized expenditure and the amount
transferred."
Transfers are not a supplemental budget and do not require a hearing.
DISCUSSION:
The resolution would simply transfer $676,000 of existing appropriation from the
Capital Outlay category to Materials & Services. The expenditure should not be
classified as Capital Outlay since the URA will not own the project.
FINANCIAL IMPACT:
This request does not increase the expenditures for the URA.

A RESOLUTION APPROVING TRANSFERS OF FY 2014-2015 APPROPRIATIONS
WHEREAS, ORS 294.463(1) permits "transfers of appropriations" within any
fund "when authorized by official resolution or ordinance of the governing body";
and
WHEREAS, transfers made pursuant to any of the above must state the need
for the transfer, the purpose for the authorized expenditure, and the amount of
the appropriation transferred; and
WHEREAS, the transfers contained herein are made pursuant to ORS
294.463; and
THE WOODBURN URBAN RENEWAL AGENCY RESOLVES AS FOLLOWS:
Section 1. That pursuant to the applicable ORS provisions cited above, the
purpose for this transfer is to fund the Intergovernmental Agreement with
Woodburn Fire District No. 6. The need for this transfer is to move the original
Capital Outlay appropriation to Materials & Services so the payment can be
processed. The amount transferred is $676,000.
